Terms and Conditions

These Terms form the agreement between you and Trident Marketing & Technologies Inc. when you access BlueGate, buy a product or service, or use a BlueGate account.

1. Who we are

BlueGate is owned and operated by Trident Marketing & Technologies Inc., Orange Cottage, Horse Hill, St. Joseph, Barbados (“Trident”, “BlueGate”, “we”, “us”).

BlueGate is an independent software and integration provider. We are not a bank, acquirer, payment facilitator, money transmitter or card network, and we do not hold or settle merchant funds.

2. Acceptance and eligibility

By creating an account, placing an order, using the website, downloading a product, or accepting a proposal, you agree to these Terms, our Privacy Policy, Cookie Policy and applicable Refund Policy. Electronic acceptance and records have the same effect as written acceptance to the extent permitted by Barbados law.

You must be at least 18 and legally able to bind yourself or the business you represent. Information you provide must be accurate and kept current.

3. Products and services

BlueGate may provide WooCommerce or Shopify connectors, hosted account tools, licence and activation services, documentation, Build Kits, working sessions, and custom integrations. Features, compatibility and deliverables are those shown at purchase or in a signed proposal.

A BlueGate product does not itself provide a merchant account, processing approval, settlement account, acquiring relationship, card-network membership or guaranteed transaction approval.

4. Payment providers and third parties

Payments you make to purchase BlueGate products or services are temporarily processed by RYDR Global. RYDR Global is a third-party payment processor; it does not own or operate BlueGate. The name shown on your card statement may reflect the payment arrangement disclosed at checkout.

This is separate from the payment processing used by your own customers. Merchants connect BlueGate software to their own supported processor or acquiring bank account. For the Powertranz integration, Powertranz® is the independent gateway provider. Merchant approval, pricing, transaction decisions, settlement, reserves, chargebacks and processor availability remain subject to the merchant’s agreements with those third parties.

WooCommerce, Shopify, WordPress, Powertranz, banks and card brands are independent third parties with their own terms. Their services may change or become unavailable. References do not imply affiliation, endorsement or sponsorship.

5. Accounts and security

  • Keep credentials, licence keys, merchant credentials and recovery links confidential.
  • Use accurate account and billing information and notify us of unauthorized access promptly.
  • You are responsible for activity performed through your account and for limiting staff access appropriately.
  • We may require verification, suspend suspicious access, rotate credentials or decline a transaction to protect the platform.

Do not place live processor secrets in support messages unless we specifically provide an approved secure method.

6. Software licences and updates

Subject to payment and these Terms, BlueGate grants you a limited, non-exclusive, non-transferable, revocable licence to use the purchased software for the permitted number of sites or stores. Ownership is not transferred.

You may make reasonable backup copies. You may not resell, sublicense, publish, share licence keys, bypass activation, remove proprietary notices, distribute source or compiled files, use the software to build a competing product, or reverse engineer it except where applicable law does not allow that restriction.

Annual plans include updates and support for the stated term. A lifetime plan, where offered, means updates for the commercial life of that product, not the lifetime of any person, company or third-party platform. Compatibility with every future platform or processor release is not guaranteed.

7. Build Kits, documentation and custom work

Build Kits provide BlueGate-authored prompts, architecture guidance, checklists and educational material. They are designed for use with AI development tools (such as lovable.dev or Claude Code, used as examples without affiliation). They do not include BlueGate plugin source code, third-party confidential documentation, legal advice, PCI certification, processor approval or a guaranteed production integration. Prerequisites include authorized access to your provider documentation and a supported development environment. You must obtain and comply with your own provider agreements and documentation.

Custom integrations, implementation and working sessions are governed by the accepted proposal or statement of work in addition to these Terms. Scope changes, dependencies, milestones, acceptance criteria and third-party costs may affect delivery.

8. Merchant responsibilities

  • Maintain a valid merchant and acquiring relationship, HTTPS, supported software and secure hosting.
  • Configure currencies, credentials, checkout mode, fraud tools, taxes, fulfilment, receipts and refund practices correctly.
  • Comply with card-network, PCI DSS, processor, consumer, privacy, sanctions, export and industry rules that apply to your business.
  • Test before going live, monitor orders and reconcile processor and bank records.
  • Provide customers with accurate products, prices, policies and support.

BlueGate’s compliance helpers are operational aids only; they do not certify legal, processor or PCI compliance.

9. Fees, currency, taxes and renewals

Prices and billing intervals are displayed before purchase. Unless stated otherwise, website prices are listed in USD; checkout may charge the disclosed BBD equivalent. Your issuer may apply conversion or cross-border fees. You are responsible for applicable taxes, duties and third-party fees.

Where automatic renewal is enabled, we may charge the saved payment method at the then-current disclosed renewal price. We send a reminder before a scheduled annual renewal where practicable. You may disable renewal before the charge in your account. Failed renewal may end access to updates, support and licence verification without disabling software already installed.

10. Cancellations and refunds

Our Refund Policy explains the advertised 14-day money-back guarantee, renewal requests, digital products and custom services. Nothing in these Terms removes a non-waivable remedy under applicable consumer law.

Processor, bank and card-network fees may be outside our control. Contact BlueGate before filing a chargeback so we can investigate, but this does not limit any lawful cardholder right.

11. Acceptable use

You must not use BlueGate to break the law, process prohibited or deceptive transactions, infringe rights, distribute malware, probe security without written permission, overwhelm services, evade sanctions, impersonate others, harvest data, or interfere with another customer.

We may investigate suspected misuse and suspend or terminate access where reasonably necessary to protect users, third parties or the service.

12. Intellectual property and feedback

BlueGate, its software, designs, documentation, Build Kits, trademarks and original materials belong to Trident or its licensors. Third-party marks belong to their owners. You retain ownership of content and data you lawfully provide and grant us only the rights needed to provide the service.

If you voluntarily provide feedback, you permit us to use it without restriction or compensation, provided we do not identify confidential information as yours without permission.

13. Confidentiality and data

Each party must use reasonable care to protect non-public commercial, technical and security information received from the other and use it only for the relationship. This does not cover information already lawfully known, public without breach, independently developed or required to be disclosed by law.

Personal data is handled under our Privacy Policy. You remain responsible for data you submit and for having authority to provide it.

14. Availability, changes and support

We aim to keep BlueGate reliable, but do not promise uninterrupted, error-free or permanently available service. Maintenance, attacks, internet failures, provider changes, bank outages and platform updates can interrupt service.

We may improve, replace or discontinue features. For material changes that substantially reduce a paid service, we will give reasonable notice where practicable and provide any remedy required by law.

15. Warranties and disclaimers

BlueGate is supplied with reasonable care and skill. Except for express promises and rights that cannot legally be excluded, products are provided “as is” and “as available”. We do not guarantee merchant approval, payment approval, uninterrupted processing, revenue, regulatory certification, fitness for every configuration, or the acts of banks, processors, platforms or customers.

You must maintain backups, staging tests, fraud controls and business-continuity procedures appropriate to your risk.

16. Limits of liability

Nothing excludes liability that cannot lawfully be excluded, including liability for fraud or fraudulent misrepresentation. Subject to that rule, neither party is liable for indirect, incidental, special or consequential loss, loss of profits, goodwill, data or opportunity that was not reasonably foreseeable.

To the fullest extent permitted by law, Trident’s aggregate liability arising from a paid product or service will not exceed the amount you paid Trident for that product or service during the 12 months before the event giving rise to the claim. This allocation reflects the fees charged and does not restrict mandatory consumer remedies.

17. Business-user indemnity

If you use BlueGate for business, you will defend and indemnify Trident against third-party claims and reasonable costs caused by your unlawful products, content, customer promises, misuse, breach of these Terms, or violation of third-party rights, except to the extent caused by Trident. We will notify you and allow reasonable control of the defence, subject to our right to participate.

18. Suspension and termination

You may stop using the service and cancel future renewal at any time. We may suspend or terminate for material breach, non-payment, security risk, unlawful use or a legal requirement, ordinarily after notice and an opportunity to cure where appropriate.

Terms intended to survive—including payment, ownership, confidentiality, disclaimers, liability, disputes and accrued rights—continue after termination.

19. Barbados law and disputes

These Terms are governed by the laws of Barbados. The courts of Barbados have exclusive jurisdiction, except where mandatory consumer law permits you to bring a claim elsewhere.

Before court proceedings, each party should give written notice and allow 30 days for good-faith resolution. Consumers may also contact the Barbados Fair Trading Commission or another competent regulator. This clause does not prevent urgent injunctive relief.

20. Changes and contact

We may update these Terms for legal, security or service reasons. The effective date will change, and material changes will be communicated through the service or email where appropriate. Continued use after the effective date means acceptance, except where law requires fresh consent.
